This Software License agreement (hereinafter referred to as "AGREEMENT") is a legal AGREEMENT between you, and SATURN SOFT LIMITED for using the computer software program entitled ProSchematic (hereinafter referred to as "SOFTWARE").

NOTICE TO USERS: CAREFULLY READ THE FOLLOWING LEGAL AGREEMENT. USE OF THE SOFTWARE PROVIDED WITH THIS AGREEMENT (THE "SOFTWARE") CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL AND/OR USE THIS SOFTWARE. USER'S USE OF THIS SOFTWARE IS CONDITIONED UPON COMPLIANCE BY USER WITH THE TERMS OF THIS AGREEMENT.

1. LICENSE GRANT. SATURN SOFT LIMITED grants you a license to use one copy of the version of this SOFTWARE on any one system for as many licenses as you purchase. "You" means the company, entity or individual whose funds are used to pay the license fee. "Use" means storing, loading, installing, executing or displaying the SOFTWARE. You may not modify the SOFTWARE or disable any licensing or control features of the SOFTWARE except as an intended part of the SOFTWARE's programming features. When you first obtain a copy of the SOFTWARE, you are granted an evaluation period of not more than 30 days, after which time you must pay for the SOFTWARE according to the terms and prices discussed in the SOFTWARE's documentation, or you must remove the SOFTWARE from your system. This license is not transferable to any other system, or to another organization or individual. You are expected to use the SOFTWARE on your system and to thoroughly evaluate its usefulness and functionality before making a purchase. This "try before you buy" approach is the ultimate guarantee that the SOFTWARE will perform to your satisfaction; therefore, you understand and agree that there is no refund policy for any purchase of the SOFTWARE.

2. OWNERSHIP. The SOFTWARE is owned and copyrighted by SATURN SOFT LIMITED except for the following Modules:

Tcl ,Tk, Itcl, Itk, IWidgets, BWidgets, tcllib, BLT, metakit (Mk4tcl), zlib, vfs, and tea

These modules have their own licenses which must be applied in addition to this license (These licenses can be found in the Help pages of the SOFTWARE). Your license confers no title or ownership in the SOFTWARE and should not be construed as a sale of any right in the SOFTWARE.

3. COPYRIGHT. The SOFTWARE is protected by United Kingdom copyright law and international treaty provisions. You acknowledge that no title to the intellectual property in the SOFTWARE is transferred to you. You further acknowledge that title and full ownership rights to the SOFTWARE will remain the exclusive property of SATURN SOFT LIMITED and you will not acquire any rights to the SOFTWARE except as expressly set forth in this license. You agree that any copies of the SOFTWARE will contain the same proprietary notices which appear on and in the SOFTWARE.

4. UNAUTHORIZED USE. You agree that you will not use, copy, rent, lease, sell, modify, decompile, disassemble, otherwise reverse engineer, or transfer the SOFTWARE in whole or in part except as provided in this agreement. You may not use any registration code information unless it has been assigned to you by SATURN SOFT LIMITED or a distributor authorized by SATURN SOFT LIMITED to assign and distribute registration code information. You may not distribute your registration code information. You may not tamper with the SOFTWARE, disable any portion of the SOFTWARE, or exploit any defect in the SOFTWARE to bypass the registration process. You may not distribute instructions for bypassing the registration process. Any such unauthorized use shall result in immediate and automatic termination of this license and may result in criminal and/or civil prosecution..

5. DISTRIBUTION. You may copy and/or distribute the SOFTWARE only in its original, unaltered form, with all files included unmodified, and without making any additions, modifications or deletions except as provided in this paragraph. You may not distribute any registration code information. The SOFTWARE can only be distributed unchanged and in its entirety as received from SATURN SOFT LIMITED's website i.e. You must distribute the install form of the software not the files resulting from an installation. You are not allowed to sell the software (except for shipment and handling charges). Permission to distribute the SOFTWARE is not transferable, assignable, saleable, or franchisable. Each entity wishing to distribute the SOFTWARE must independently satisfy the terms of the "software distribution agreement". You agree that the SOFTWARE will not be shipped, transferred or exported into any country or used in any manner prohibited by the United States Export Administration Act or any other export laws, restrictions or regulations.

6. UPDATES. SATURN SOFT LIMITED reserves the right to update the contents of the SOFTWARE and its associated files, documentation and/or other elements, at its discretion from time to time, without the consent of, or any obligation to, any users or distributors.

7. NO OTHER WARRANTIES. SATURN SOFT LIMITED DOES NOT WARRANT THAT THE SOFTWARE IS ERROR FREE. SATURN SOFT LIMITED DISCLAIMS ALL OTHER WARRANTIES WITH RESPECT TO THE SOFTWARE, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON INFRINGEMENT OF THIRD PARTY RIGHTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY MAY LAST, OR THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION.

8. SEVERABILITY. In the event of invalidity of any provision of this license, the parties agree that such invalidity shall not affect the validity of the remaining portions of this license.

9. NO LIABILITY FOR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL SATURN SOFT LIMITED OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL OR INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE DELIVERY, PERFORMANCE OR USE OF THE SOFTWARE, EVEN IF SATURN SOFT LIMITED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL SATURN SOFT LIMITED'S LIABILITY FOR ANY CLAIM, WHETHER IN CONTRACT, TORT OR ANY OTHER THEORY OF LIABILITY, EXCEED THE LICENSE FEE PAID BY YOU, IF ANY.

10. JURISDICTION. This License Agreement shall be governed by and construed in accordance with the laws of England and Wales the courts of which shall alone be the courts of competent jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods is specifically disclaimed. Any use of the program which is illegal under international or local law is forbidden by this licence. Any such action is the sole responsibility of the person committing the action.

11. RESERVED RIGHTS. All rights not expressly granted here are reserved to SATURN SOFT LIMITED.

12. ENTIRE AGREEMENT. This is the entire agreement between you and SATURN SOFT LIMITED which supersedes any prior agreement or understanding, whether written or oral, relating to the subject matter of this license.
